How do I register a limited company in the UK?
You register a limited company with Companies House. You choose a company name, give director and shareholder details, set your share structure, name your registered office and provide a SIC code. What information is needed to register a company?
You need a company name, registered office address, director and shareholder details, information about any People with Significant Control (PSCs), a SIC code and details of the company’s share structure. Directors and PSCs must also meet the relevant identity-verification requirements. Digitax will tell you what applies to your company.
How long does company registration take?
Companies House sets the processing times and they can change, so we do not quote a fixed time. What we do is prepare your application carefully to avoid the errors that cause delays or rejection. Once it is processed, we pass on your incorporation documents.
Can Companies House reject an application?
Yes. Companies House can reject an application, for example if the company name breaks the naming rules or required details are missing or incorrect. That is why we check your information before filing. Companies House always makes the final decision, and no one can guarantee approval.
Do I need a registered office address?
Yes. Every UK limited company must have a registered office, and it must be an eligible UK address where official mail can be received. It appears on the public register. If you would rather not use your home address, ask us about the options.
What is a service address?
A service address is the official contact address for a director or PSC, used for statutory mail. It is different from the registered office, which belongs to the company. A service address is also on the public register, so many directors use a business address rather than their home. We can explain which addresses you need.
What is a SIC code?
A SIC code is a standard number that describes what your business does. Companies House asks for at least one when you register, and you can have more than one if your business covers several activities. If you are unsure which code fits, we help you choose one that accurately describes your work.
What is a Person with Significant Control?
A Person with Significant Control (PSC) is someone who owns or controls the company, usually by holding more than 25% of shares or voting rights, or by having significant influence. Companies must identify their PSCs when they register. We help you work out who your PSCs are and record them correctly.
Can a sole trader register a limited company?
Yes. A sole trader can set up a limited company at any time. The company becomes a separate legal entity from you, which changes how you are taxed and what you file. We can register the company and explain what moving from sole trader to limited means for you.
